Risk Management Structure

Risk Management Committee

To ensure business continuity and sound management across the TOHO Group, we have established the Risk Management Policy and the Risk Management Committee, chaired by the President & CEO.

This risk management framework diagram shows how the Risk Management Committee, chaired by the President & CEO, reviews risk events and considers preventive measures for potential risks. It also illustrates the communication and reporting lines in the event of a risk incident, as well as the Group's crisis management framework.

Internal Control

TOHO's Board of Directors has adopted an Internal Control Policy, under which the Company has established an internal control system to ensure proper operations across TOHO and its group companies. The policy is reviewed as needed, and its implementation is monitored to maintain and improve the internal control system, supporting sound management and sustainable growth.

Information Security

The TOHO Group recognizes the importance of protecting its information assets, including data entrusted by customers. The group implements a wide range of information security measures, based on the key principles of legal and regulatory compliance, internal rule development, management structures, education, adaptation to emerging threats and changing environments, and audits. To address increasingly serious cyberattacks in a structured way, the Group has also established a dedicated Computer Security Incident Response Team (CSIRT).

Compliance

As part of its compliance framework, TOHO has established a Compliance Committee as well as an internal reporting system that spans the entire group. Whistleblowing and consultation desks are available both internally and through external counsel, and are operated in a fair and impartial manner to address legal and compliance concerns. In addition, a Content Subcommittee has been established within the Compliance Committee to review content during production, manage risk-related information, and develop policies for responding to risks.
